Regulatory

License

Definition

The legal authorization to conduct gambling activity in a jurisdiction, issued by the relevant regulator after a defined application process.

Why it matters

The license is the foundational legal artifact in regulated gambling. Without it, the operator cannot legally serve players in the relevant jurisdiction. The license carries obligations (license conditions, technical standards, reporting requirements, compliance obligations) that the operator must maintain throughout the license term. Breaches can result in enforcement action, including license suspension or revocation.

License application processes are substantial. The typical process involves corporate due diligence on the applicant entity and its beneficial owners, key-person assessment for senior management, technical certification of the platform and product, financial standing demonstrations including operator-level capital requirements, and detailed policy documentation around responsible gambling, AML, and customer protection. The cost in time and resources is one of the structural barriers to entry in regulated markets. Active license maintenance (ongoing compliance, regulator engagement, key-person changes) is also substantial.

Frequently asked questions

  • How long does it take to get a license?

Varies dramatically. Some smaller jurisdictions can process applications in weeks. Tier 1 markets often take 6 to 18 months including the full diligence and certification process. Complicated corporate structures or compliance issues can extend timelines further.

  • Are licenses transferable in M&A?

Generally not automatically. Most regulators require change-of-control approval, with the acquirer subjected to fresh diligence. Pre-closing regulator engagement is part of standard M&A planning. License continuity through transactions is one of the things diligence is designed to assess.
