Catena Media's Q3 Revenue Falls 29% as It Drops Its 2026 Target and Flags a €30m to €35m Impairment

Catena Media's Q3 Revenue Falls 29% as It Drops Its 2026 Target and Flags a €30m to €35m Impairment

The Stockholm-listed affiliate blames generative search and falling rankings, and because more than 90% of its new customers come on cost-per-acquisition deals, the damage reached its accounts at once. Two months after finding no sign of impairment, it expects to write down €30 million to €35 million of intangible assets.

  • Catena Media's preliminary, unaudited third-quarter revenue fell 29% to €8.3 million from €11.6 million, and adjusted EBITDA fell to €0.7 million from €2.9 million, including a €0.7 million reversal of bonus accruals, according to its announcement of 16 October
  • It no longer expects to reach its 2026 target of double-digit organic growth in revenue and adjusted EBITDA, and expects a non-cash impairment of €30 million to €35 million on intangible assets in the third quarter
  • It blames generative search reducing new traffic across the affiliate industry, a decline in its own search rankings and seasonal cuts to operator marketing budgets
  • Better Collective and Gentoo Media have both cut guidance after Brazil's betting ban, but Catena Media's problem is search: North America provided 97% of its second-quarter revenue
  • The company says it will reduce its dependence on search through TraffiqX, a platform it plans to launch in the first quarter of 2027, and verticals such as prediction markets; the full report is due on 10 November

Catena Media Says Search Is Shifting Faster Than Its Business Can Absorb

Catena Media plc, the Malta-incorporated affiliate listed on Nasdaq Stockholm's Small Cap list, published the figures as inside information at 17:40 CEST on Friday 16 October, after the Stockholm market had closed. Nine-month revenue was €30.1 million, against €31.0 million a year earlier, and nine-month adjusted EBITDA €4.6 million, against €5.2 million. Without the bonus reversal, third-quarter adjusted EBITDA would have been roughly nil, on our arithmetic.

Generative search "continued to transform how users discover brands online", the company says, and its traditional rankings declined because of AI-assisted, personalised search and because search engines continue to elevate lower-relevancy content; some operators also cut summer marketing budgets. Because it acquires more than 90% of new customers on cost-per-acquisition (CPA) deals, it says, it has little recurring revenue to cushion such pressures.

Chief executive Manuel Stan called it "a weak quarter", saying the search landscape "is undergoing a rapid and fundamental shift, and as a predominantly CPA-based business our results reflect the effects of these changes immediately and in full."

The release does not say which assets the impairment covers, and gives no figures for new depositing customers, segments, cash or net result.

Three Quarters of Decline After a Strong Fourth Quarter

Revenue from continuing operations was €15.6 million in the fourth quarter of 2025, when Catena Media said its casino products had benefited from search algorithm updates, then €12.3 million, €9.5 million and €8.3 million in the first three quarters of 2026: a fall of 47% in three quarters. Meeting the target would have taken more than €21 million in the fourth quarter, on our arithmetic, against €15.6 million in its best quarter of 2025.

At 30 June the group carried €90.1 million of other intangible assets, mostly domains and websites, so the charge equals a third to two-fifths of that figure; equity excluding hybrid capital securities was €75.5 million. Its second-quarter report said no impairment indicators had arisen. It wrote down €16.5 million in the third quarter of 2025, on North American sports and Asia-Pacific casino assets.

On 11 August Stan said the board had begun reshaping the company into "a technical infrastructure platform provider", building an automated marketplace connecting publishers and advertisers across more verticals. He gave few details "for competitive reasons", and the name TraffiqX does not appear in that report. Its sub-affiliation platform MRKTPLAYS already provides more than a third of group revenue, according to the report.

A CPA Book Turns a Traffic Problem Into an Earnings Problem Overnight

The most telling number is in the second-quarter report: CPA deals produced 88% of revenue, revenue share 6%. An affiliate paid once per depositing player earns only while new players keep arriving, so a fall in traffic lands in the same quarter, just as rising rankings lifted the fourth quarter of 2025. Peers are built differently. Better Collective reported €53 million of recurring revenue in a second quarter of €89 million; at Raketech, revenue share was 44.4% of second-quarter revenue and upfront payments 22.3%, according to their reports. Neither blamed search for its second quarter: Raketech cited the phase-out of a publisher network and softer non-core markets. CPA turns traffic into cash quickly on the way up and leaves nothing to fall back on when it drops, as Stan concedes.

The Write-Down Was Built Into Last Year's Assumptions

The 2025 annual report explains the scale of the charge. After last year's assessment, the carrying value of the group's indefinite-life intangibles was aligned with their recoverable amount, €69.9 million for the casino cash-generating unit and €13.1 million for sports, leaving no headroom, and the casino valuation assumed compound growth of 13% a year from 2026 to 2030. A business whose quarterly revenue has just fallen 29% is unlikely to support that. The language has moved too: in May the company said a December Google update had "temporarily elevated some low-relevance products" and expected Google's refinements "to correct this over time"; now it says search engines are "continuing to elevate lower-relevancy content". When an assistant names casinos itself, as all 10 did in a Dutch study of AI assistants, the comparison site can lose the click entirely. The charge reads as management no longer expecting that traffic to return on its own.

TraffiqX Is Being Asked to Carry a Strategy It Has Not Yet Shown

Beyond describing an automated marketplace, Catena Media has disclosed little about how TraffiqX will make money or what it will cost. MRKTPLAYS shows that infrastructure between publishers and operators can earn revenue, but in the first quarter the company said some MRKTPLAYS partners suffered the same ranking problems as its own sites, so a network of search-dependent publishers does not escape search by default. It calls prediction markets arguably the biggest growth opportunity in sports, yet says CPA rates there remain relatively low. Better Collective's wound is regulatory, as Brazil's ban has hit the affiliates hardest; Catena Media's fight is with the channel itself.

Catena Media has been candid about why its quarter fell apart, and its chief executive accepts that a CPA-led affiliate feels a search shift immediately and in full. On 10 November it will need to show what TraffiqX is, because a write-down of this size says management no longer expects the old model to earn its way back.
